1. Introduction
These Subscription Terms ("Terms") govern your access to and use of the subscription services and related websites, applications, APIs and content provided by Contraxus Limited (the "Service"). The Service is a platform that connects hospitality businesses with contractors and tradespeople. By creating an account, purchasing or using a subscription, you agree to these Terms.
These Terms should be read together with our Privacy Policy and Cookie Policy, which form part of this agreement.
2. Definitions
- "Account" means your registered user account on the Service.
- "Business User" means a user who registers for a business or group admin account to post jobs and find contractors.
- "Contractor User" means a user who registers for a contractor account to offer their services to Business Users.
- "Consumer" means an individual acting for purposes wholly or mainly outside their trade, business, craft or profession.
- "Content" means data, text, images, files and materials made available through the Service.
- "Service" means the Contraxus software platform, websites, APIs and related services.
- "Subscription" means a paid plan granting access to the Service for a defined period.
- "User Content" means content, data and materials uploaded or provided by you through the Service, including but not limited to profile information, company details, job postings, insurance documents, accreditation certificates, reviews and messages.
3. Platform Role & Relationship Between Users
3.1. Contraxus operates as an online marketplace platform. We provide the technology and tools to connect Business Users with Contractor Users. Contraxus is not a party to any agreement, contract or arrangement made between a Business User and a Contractor User.
3.2. Contraxus does not employ, recommend, endorse or control any Contractor User. We are not responsible for the quality, safety, legality or timeliness of any work performed by a Contractor User, nor for any acts, omissions or conduct of any user.
3.3. Business Users and Contractor Users are solely responsible for their own due diligence when entering into any working arrangement, including verifying qualifications, insurance, accreditations and suitability.
3.4. Any verification status, badges or compliance indicators displayed on the Service (including "Verified" badges) are based on documentation provided by the Contractor User and reviewed by Contraxus. They are informational only and do not constitute a guarantee, warranty or endorsement of any Contractor User's qualifications, competence, reliability, insurance coverage or fitness for any particular purpose.
3.5. Contraxus does not facilitate, process or handle any payments between Business Users and Contractor Users. All financial arrangements for work are made directly between the parties and are outside the scope of the Service.
4. UK Consumer Rights
4.1. Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015. If the Service is defective or not as described, you may be entitled to remedies as provided by law.
4.2. If you are a Consumer, any term in these Terms that would be unfair within the meaning of Part 2 of the Consumer Rights Act 2015 shall not be binding on you.
5. Cooling-Off Period (Consumers)
5.1. If you are a Consumer, you have a 14-day right to cancel from the date of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
5.2. If you request that the Service begins immediately during the cooling-off period, you acknowledge that you will lose your right to cancel once the digital content has been fully supplied. You may still cancel before full supply, but you may be required to pay for the Service received up to that point on a pro-rata basis.
5.3. To exercise your right to cancel, contact us at support@contraxus.com with a clear statement of your decision to cancel.
6. Eligibility
6.1. You must be at least 18 years of age and have legal capacity to enter a binding contract to use the Service.
6.2. Business Users and Contractor Users represent and warrant that they are duly authorised to bind their organisation to these Terms.
6.3. If we discover or have reason to believe that an Account holder is under 18, we will immediately suspend and close the Account and delete associated personal data in accordance with our obligations under UK data protection law.
7. Account Registration & Security
7.1. You must provide accurate, current and complete information during registration and keep your Account information up to date.
7.2. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account.
7.3. You must notify us immediately at support@contraxus.com if you become aware of any unauthorised use of your Account or any other security breach.
7.4. Contraxus reserves the right to suspend or terminate any Account where we reasonably believe the registration information is inaccurate, misleading or fraudulent.
8. Subscription Plans
8.1. The Service is offered through various subscription plans. Plan features, limitations and pricing are described on our website and at checkout.
8.2. Contractor Users may select from the following tiers: Local, Regional and National, each with different visibility ranges and feature sets.
8.3. Business Users subscribe to a single plan with pricing as displayed at checkout.
8.4. Group Admin Users may manage multiple Business accounts under a single billing arrangement, with pricing based on the number of businesses managed. Volume discounts may apply.
8.5. We reserve the right to modify plan features, introduce new plans, or retire existing plans with reasonable notice as described in Section 13.
9. Billing & Payments
9.1. Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected by you) and renew automatically at the end of each billing period until cancelled.
9.2. By subscribing, you authorise us to charge your chosen payment method for the applicable subscription fees and any applicable taxes on each renewal date.
9.3. If a payment fails, we will make reasonable attempts to collect the outstanding amount. If payment remains unsuccessful after [7] days, we may suspend your access to the Service. If payment is not received within [30] days, we may cancel your Subscription.
9.4. All fees are inclusive of VAT where applicable. Where VAT is not included, it will be clearly stated.
10. Payment Processing
10.1. Payments are processed securely by our third-party payment processor, Stripe. Contraxus does not store, process or have access to your full card details.
10.2. Your use of Stripe's services is subject to Stripe's own terms and conditions and privacy policy.
10.3. You are responsible for ensuring that your payment method is valid, that you are authorised to use it, and that sufficient funds or credit are available.
11. Free Trials & Promotions
11.1. We may offer free trial periods, promotional codes or discounted subscriptions from time to time. The specific terms of any trial or promotion (including duration, eligibility and any limitations) will be communicated at the time of the offer.
11.2. Free trials automatically convert to a paid Subscription at the standard rate for your chosen plan at the end of the trial period, unless you cancel before the trial expires.
11.3. Where a free trial requires a payment method to be provided, your card may be pre-authorised (but not charged) during the trial. You will be charged only if you do not cancel before the trial ends.
11.4. Eligibility for free trials and promotions may be limited (for example, to new customers only or one per household). We reserve the right to revoke a trial or promotion if we determine that eligibility criteria have not been met.
12. Renewal Reminders & Auto-Renewal Transparency
12.1. Before each automatic renewal, we will send you a reminder email at least [14] days before the renewal date. This reminder will state the renewal date, the amount to be charged, and how to cancel if you do not wish to renew.
12.2. For annual subscriptions, we will send an additional reminder at least [30] days before the annual renewal date.
12.3. You can manage your subscription and turn off auto-renewal at any time through your Account settings or by contacting support@contraxus.com.
13. Pricing Changes
13.1. We may change subscription prices or plan features from time to time. Any price increase will take effect at the start of your next billing period following the notice.
13.2. We will provide at least [30] days' notice of any price increase by email to the address associated with your Account.
13.3. If you do not agree to a price change, you may cancel your Subscription before the new price takes effect. Continued use of the Service after the new pricing takes effect constitutes acceptance.
14. Cancellation & Refunds
14.1. How to cancel: You may cancel your Subscription at any time through your Account settings or by emailing support@contraxus.com. Cancellation will be confirmed by email.
14.2. Effect of cancellation: Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the period you have already paid for.
14.3. Monthly subscriptions: No refunds are provided for partial months. Your access continues until the end of the current monthly billing period.
14.4. Annual subscriptions: If you cancel an annual subscription, you will retain access until the end of the annual billing period. No pro-rata refunds are provided for the unused portion of an annual plan, except where required by law or at our discretion.
14.5. Billing errors and duplicate charges: If you believe you have been charged in error or charged twice, contact support@contraxus.com within 60 days. Verified billing errors will be refunded in full.
14.6. Cooling-off period refunds: Refunds under Section 5 (Consumer cooling-off) will be processed within 14 days of receiving your cancellation notice.
14.7. All refunds will be issued to the original payment method.
15. Acceptable Use Policy
15.1. You must not:
- share Account credentials or allow unauthorised persons to access your Account;
- upload or transmit any malicious code, viruses or harmful content;
- infringe any intellectual property rights, data protection rights or other rights of any third party;
- use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- scrape, harvest, crawl or extract data from the Service by automated means except as expressly permitted;
- reverse engineer, decompile or attempt to extract source code from the Service, except to the extent permitted by applicable law (including the Computer Programs Directive as retained in UK law);
- interfere with or disrupt the operation, security or integrity of the Service;
- access the Service to build a competing product or service, or for competitive benchmarking, without our prior written consent;
- post false, misleading or fraudulent information, including fake reviews, fabricated insurance details, or falsified accreditation documents;
- harass, abuse, threaten or discriminate against any other user of the Service;
- use the Service to send unsolicited communications or spam to other users;
- create multiple Accounts to circumvent restrictions, eligibility requirements or enforcement actions.
15.2. Violation of this Acceptable Use Policy may result in immediate suspension or termination of your Account in accordance with Section 16.
16. Termination & Suspension
16.1. Termination by you: You may terminate your Account and these Terms at any time by cancelling your Subscription per Section 14 and requesting Account closure via support@contraxus.com.
16.2. Suspension by us: We may suspend your access to the Service immediately and without prior notice if:
- we reasonably believe you have breached these Terms or the Acceptable Use Policy;
- your use poses a risk to the security, integrity or availability of the Service or other users;
- we are required to do so by law, regulation or court order;
- your payment method fails and remains unresolved as described in Section 9.3.
16.3. Termination by us: We may terminate your Account and these Terms:
- immediately for material or repeated breach of these Terms;
- for non-payment as described in Section 9.3;
- upon [30] days' notice for any other reason.
16.4. Upon termination, your right to access the Service ceases immediately (or at the end of the paid period, if applicable). Provisions that by their nature should survive termination (including Sections 3, 14, 15, 17, 18, 20, 26, 27 and 32) will continue to apply.
17. Intellectual Property
17.1. The Service, including all software, design, text, graphics, logos, trademarks and other materials, is owned by or licensed to Contraxus and is protected by copyright, trademark and other intellectual property laws.
17.2. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose during the term of your Subscription.
17.3. No other rights are granted, whether by implication, estoppel or otherwise. All rights not expressly granted are reserved.
18. User Content & Data
18.1. As between you and Contraxus, you retain ownership of your User Content.
18.2. You grant Contraxus a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, reproduce and modify your User Content solely to the extent necessary to provide, maintain and improve the Service. This licence continues for the duration of your Account and for a reasonable period afterwards to allow for data retention and backup processes.
18.3. You represent and warrant that:
- you own or have all necessary rights, licences and consents to provide your User Content;
- your User Content does not infringe the intellectual property, privacy or other rights of any third party;
- your User Content is accurate and not misleading, particularly with respect to insurance documents, accreditation certificates and qualifications;
- your User Content complies with all applicable laws and regulations.
18.4. We may remove or disable access to any User Content that we reasonably believe violates these Terms, applicable law or the rights of any third party.
19. Insurance, Accreditation & Compliance Information
19.1. Contractor Users may upload insurance documents, accreditation certificates and other compliance materials to the Service. Contraxus may review these documents and display verification statuses and compliance scores on the Contractor's profile.
19.2. Contraxus does not independently verify the validity, authenticity or current status of any insurance policy, accreditation or qualification. Verification statuses indicate only that a document has been received and reviewed for basic completeness. They do not confirm that:
- an insurance policy is currently in force or provides adequate cover for any particular engagement;
- an accreditation or qualification is genuine, current or recognised by the relevant industry body;
- a Contractor User is competent, qualified or suitable for any particular work.
19.3. Business Users are solely responsible for conducting their own due diligence on any Contractor User before engaging them for work, including independently verifying insurance cover, accreditations and qualifications directly with the relevant issuing bodies.
19.4. Contractor Users are responsible for keeping their uploaded documents current and accurate. Displaying expired or invalid insurance or accreditation information may result in Account suspension.
20. Reviews & Ratings
20.1. Users may leave reviews and ratings for other users through the Service. Reviews must be honest, accurate and based on genuine experience.
20.2. You must not:
- post fake, incentivised or misleading reviews;
- review your own business or a competing business;
- offer or accept payment or other incentives in exchange for reviews;
- pressure, intimidate or harass another user in connection with a review.
20.3. We may remove or moderate reviews that we reasonably believe are fraudulent, abusive, defamatory, or in breach of these Terms or applicable law, including CMA guidance on online reviews.
20.4. A user who is the subject of a review may submit a response, which will be displayed alongside the original review.
20.5. We do not verify the accuracy of reviews and are not responsible for their content. Reviews represent the opinions of individual users and do not reflect the views of Contraxus.
21. Data Protection & Privacy
21.1. We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details of how we collect, use, store and share your personal data are set out in our Privacy Policy.
21.2. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
21.3. For Business Users acting as data controllers: Where you input personal data of your employees, agents or other individuals into the Service, you are the data controller and Contraxus is the data processor for that data. Our processing of such data is governed by the Data Processing Agreement ("DPA"), which is available on request and forms part of these Terms for business customers.
21.4. Data breach notification: In the event of a personal data breach affecting your data, we will notify you without undue delay and in any event within 72 hours of becoming aware of the breach, providing such information as is required under Article 33 of the UK GDPR.
21.5. Sub-processors: We use third-party sub-processors to provide parts of the Service. A current list of sub-processors is available on request. We will provide reasonable notice of any changes to sub-processors.
22. Cookies
22.1. The Service uses cookies and similar technologies as described in our Cookie Policy.
22.2. By using the Service, you consent to our use of essential cookies. Non-essential cookies (including analytics and marketing cookies) will only be placed with your explicit consent, which you can manage through our cookie preferences tool.
23. Third-Party Services & Integrations
23.1. The Service may interoperate with or contain links to third-party products and services, including but not limited to cloud hosting, analytics, payment processors and mapping services.
23.2. Contraxus is not responsible for the content, terms, policies, practices or availability of any third-party service. Your use of third-party services is at your own discretion and risk and may require you to agree to their separate terms and conditions.
23.3. The inclusion of any link to a third-party service does not imply endorsement by Contraxus.
24. APIs & Developer Terms
24.1. If Contraxus provides APIs, webhooks or other developer tools, their use is subject to these Terms and any additional API-specific policies published by us.
24.2. We may impose rate limits, require authentication, and restrict or revoke API access at any time for misuse, security concerns, excessive usage or policy violations.
25. Service Availability & Support
25.1. We aim to provide reliable and continuous access to the Service but do not guarantee that the Service will be uninterrupted, error-free or available at all times.
25.2. We may carry out planned maintenance from time to time and will endeavour to provide reasonable advance notice of any scheduled downtime that may materially affect access.
25.3. Our target availability for the Service is [99.5]% measured over each calendar month, excluding planned maintenance windows and circumstances beyond our reasonable control.
25.4. Standard support is available via email at support@contraxus.com during UK business hours (Monday to Friday, 9:00am to 5:30pm GMT/BST), excluding UK public holidays, unless otherwise stated in your plan.
26. Beta & Experimental Features
26.1. We may offer preview, beta or experimental features from time to time. Such features are provided "as is" and "as available", may contain bugs or errors, may be changed or discontinued at any time without notice, and may be less reliable or secure than generally available features.
26.2. Your use of beta features is voluntary and at your own risk. We may collect additional usage data and feedback in connection with beta features.
27. Modifications to the Service
27.1. We may modify, add or remove features and functionality from the Service from time to time to improve performance, security or user experience.
27.2. Where changes materially reduce core functionality of a paid Subscription plan, we will provide at least [30] days' notice and you may cancel your Subscription before the changes take effect.
28. Indemnification (Business Users Only)
28.1. This Section 28 applies only to Business Users and Contractor Users acting in the course of their trade, business, craft or profession. It does not apply to Consumers.
28.2. You agree to indemnify, defend and hold harmless Contraxus, its directors, officers, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to:
- your breach of these Terms;
- your User Content, including any claims that your User Content infringes the rights of any third party;
- your use of the Service in violation of applicable law;
- any dispute between you and another user of the Service;
- any claim by a third party arising from work performed or services provided by a Contractor User engaged through the platform.
29. Limitation of Liability
29.1. To the fullest extent permitted by applicable law:
- Contraxus excludes liability for indirect, incidental, special, consequential or exemplary damages, including but not limited to loss of profits, revenue, business, data, goodwill or anticipated savings, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise;
- our total aggregate liability for all claims arising out of or in connection with these Terms or the Service in any 12-month period shall not exceed the total fees paid by you to Contraxus for the Service during that 12-month period;
- Contraxus shall not be liable for any loss or damage arising from: (i) your reliance on any verification status, compliance score, insurance information or accreditation displayed on the Service; (ii) any act, omission, conduct or work of any other user; (iii) any dispute or arrangement between users.
29.2. Nothing in these Terms limits or excludes liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any liability that cannot be limited or excluded by applicable law.
29.3. If you are a Consumer, your statutory rights under the Consumer Rights Act 2015 are not affected by this Section.
30. Business Users vs Consumers
30.1. If you purchase the Service for purposes related to your trade, business, craft or profession, you are a "Business User" and consumer-specific provisions (including Sections 4, 5 and any consumer-specific rights) do not apply to you.
30.2. If you are a Consumer, nothing in these Terms affects your mandatory statutory rights. In the event of any conflict between these Terms and your statutory rights, your statutory rights shall prevail.
31. Dispute Resolution
31.1. Informal resolution: Before commencing any formal proceedings, you agree to contact us at support@contraxus.com with a description of your complaint or dispute. We will make reasonable efforts to resolve the matter informally within [30] days.
31.2. Alternative Dispute Resolution (ADR): If we are unable to resolve your complaint informally and you are a Consumer, you may be eligible to use an approved ADR scheme. We are not currently a member of an approved ADR scheme. We will however always try to resolve disputes directly with you.
31.3. Nothing in this Section prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
32. Force Majeure
32.1. Neither party shall be liable for any delay or failure to perform its obligations under these Terms where such delay or failure is caused by events beyond that party's reasonable control, including but not limited to: natural disasters, acts of government or regulatory bodies, war, terrorism, pandemic, epidemic, fire, flood, internet or telecommunications failure, third-party hosting or infrastructure outages, power failure, labour disputes or cyberattacks.
32.2. The affected party shall notify the other party as soon as reasonably practicable and shall use reasonable efforts to mitigate the effects of the force majeure event.
33. Data Retention & Account Closure
33.1. Upon termination or cancellation of your Account, we will retain your personal data for a period of [90] days to allow for Account reactivation, resolution of outstanding issues and compliance with legal obligations. After this period, your personal data will be deleted or anonymised in accordance with our Privacy Policy.
33.2. Data export: You may request an export of your data at any time while your Account is active by contacting support@contraxus.com. We will provide your data in a commonly used, machine-readable format within [30] days of your request.
33.3. Certain data may be retained beyond the periods stated above where required by law (for example, financial records required under HMRC regulations, which must be retained for at least 6 years).
33.4. Anonymised and aggregated data that cannot be used to identify you may be retained indefinitely for analytical and service improvement purposes.
34. Export & Sanctions Compliance
34.1. You must comply with all applicable export control and sanctions laws, including those administered by the UK Office of Financial Sanctions Implementation (OFSI) and, where applicable, equivalent international regimes.
34.2. You may not access or use the Service from any jurisdiction subject to comprehensive UK or international sanctions, and you represent that you are not a sanctioned person or entity.
35. Communications & Notices
35.1. We may send you notices, updates and communications by email, in-product messages, or by posting on our website. Service-critical notices (including billing, security and legal updates) will be sent by email to the address associated with your Account.
35.2. You are responsible for keeping your email address and contact details current.
35.3. Formal notices to Contraxus must be sent by email to support@contraxus.com or by post to our registered address. Notices are deemed received on the business day following email transmission or 3 business days after posting by first-class mail.
36. Assignment
36.1. You may not assign, transfer or sublicense your rights or obligations under these Terms without our prior written consent.
36.2. Contraxus may assign these Terms in whole or in part in connection with a merger, acquisition, corporate reorganisation or sale of all or substantially all of its assets, provided the assignee agrees to be bound by these Terms.
37. Entire Agreement, Severability & Waiver
37.1. These Terms, together with our Privacy Policy, Cookie Policy, and (where applicable) Data Processing Agreement and any order forms, constitute the entire agreement between you and Contraxus regarding the Service and supersede all prior agreements, representations and understandings on the subject matter.
37.2. If any provision of these Terms is found to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
37.3. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of our right to enforce it at a later date.
38. Governing Law & Jurisdiction
38.1. These Terms are governed by and construed in accordance with the laws of England and Wales.
38.2. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, subject to Section 38.3.
38.3. If you are a Consumer resident in Scotland, you may bring proceedings in the Scottish courts. If you are a Consumer resident in Northern Ireland, you may bring proceedings in the Northern Irish courts. Nothing in these Terms limits any mandatory consumer protections provided by the law of your country of residence.

40. Changes to These Terms
40.1. We may update these Terms from time to time. Where changes are material, we will provide at least [30] days' notice by email and/or by prominent notice within the Service.
40.2. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you may cancel your Subscription before they take effect.
40.3. The "Effective Date" at the top of these Terms indicates when the current version was last updated.
